LEMONADE DAY CITY SWEEPSTAKES OFFICIAL RULES

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN, NOR WILL A PURCHASE OR PAYMENT IMPROVE ONE’S CHANCES OF WINNING.  

ENTRANTS MUST HAVE PERMISSION FROM THEIR PARENT OR LEGAL GUARDIAN IN ORDER TO ENTER. PRIZE WILL BE AWARDED IN THE NAME OF ENTRANT’S PARENT OR LEGAL GUARDIAN. MANY WILL ENTER, ONE PER LICENSED LEMONADE CITY WILL WIN. VOID WHERE PROHIBITED. 

I.       NAME OF SPONSOR 

P4L d/b/a Lemonade Day (“Sponsor”), 1800 West Loop South, STE 1875, Houston, TX 77027, whose decisions are final and binding as to all aspects of this Sweepstakes (“Sweepstakes”). 

II.      ELIGIBILITY 

To enter the Sweepstakes you must have the permission of your parent or legal guardian (“Parent”) prior to entering and be: (i) 5 years of age or older at the time of entry (each “Participant”, collectively, the “Participant”, and (ii) who is a legal resident of, and physically resides within the fifty (50) United States or the District of Columbia and Canada (excluding the residents of Quebec). Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six (6) months, performed services for Sponsor, and any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, immediate family members and household members of such individuals, and any person who, within the past six (6) months, has been awarded a prize in any Sweepstakes conducted by Sponsor, are all ineligible to enter or win. "Immediate family members” shall mean parents, stepchildren, children, stepparents, siblings, step-siblings, or spouses. “Household members” shall mean people who share the same residence at least three (3) months a year. 

III.     HOW AND WHEN TO ENTER 

Entry: You may enter this Sweepstakes during the period beginning at 12:01:00 a.m. Central Time (“CT”), April 15, 2024 and ending at 11:59:59 p.m. CT, September 23, 2024 (“Entry Period”). Only one (1) Entry per entrant.  To become a Eligible Entrant (“Eligible Entrant”) you may enter by (1) reading and answering the Business Results (“Business Results”) questions posted on the Lemonade Day website (hhtps://lemonadeday.org/businessresults) (2) reading, completing and mailing the return postage paid Business Results Form post card found in the Lemonade Day Youth/Teen workbook, or (3) reading, completing and submitting the Business Results Paper Form (as described below).  You may also review these instructions in Sponsor’s Sweepstakes call to action posted by Sponsor on https://lemonadeday.org/Sweepstakes-rules. Sponsor, at its sole discretion, may accept a mistyped Entry. Random Drawing: Participating Licensed Lemonade Day City (“Participating Licensed Lemonade Day Cities”) Directors (“Directors”) will conduct a random drawing of all Entries received during the Sweepstakes Entry Period.  For a list of Licensed Lemonade Cities go to https://lemonadeday.org/find-your-city . Entries received must meet eligibility to enter Sweepstakes.  It is your sole responsibility to notify the Sponsor in writing if you change your email address (“Address”). For purposes of these Official Rules (“Rules”), all times and days are Central Time. The awarding of each prize is subject to the eligibility and forfeiture provisions set forth below.

Normal Internet access and usage charges imposed by your online service will apply. Sponsor’s computer is the official time keeping device for the Sweepstakes. It is your sole responsibility to notify the Sponsor if you or your Parent changes your/their Address. To do so, email info@lemonadeday.org. 

IV. LIMITATIONS

All Entries must be received during the Entry Period. Only one Entry per person/Address (regardless of whether one person has more than one Address, or more than one person use the same Address). In event of a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed to be submitted by the natural person who is the “authorized account holder” assigned to the Address. Entries by any method other than set forth above in Section 2 are void. Use of any automated system to enter as determined by Sponsor in its sole judgment is prohibited and will result in disqualification at Sponsor’s sole discretion. Neither the Entities, nor any of their officers, directors, shareholders, employees, agents or representatives (individually and collectively, “Releasees”) are responsible for Entries from persons residing, or physically located, outside the Territory (“Territory”), or Entries that are altered, delayed, deleted, destroyed, forged, fraudulent, improperly accessed, inaccurate, incomplete, interrupted, irregular in any way, late, lost, misdirected, multiple, non-delivered, stolen, tampered with, unauthorized, unintelligible or otherwise not in compliance with these Rules; or for lost, interrupted or unavailable network, server or other connections; miscommunications; failed phone, computer hardware or software or telephone transmissions; technical failures; unauthorized human intervention; traffic congestion; garbled or jumbled transmissions; or other errors of any kind, whether due to electronic, human, mechanical, printing, production or technical errors or other causes; even if caused by the negligence of any of the Releasees. Each of such potential Entries will be disqualified and any attempt by a person to use multiple Addresses to register more than once may result in disqualification at Sponsor’s sole discretion. Void where prohibited or restricted by law and subject to all applicable federal, state, local and municipal laws and regulations.

V.     PRIZE

One (1) prize: The winner (“Winner”) in each Participating Licensed Lemonade Day City (https://lemonadeday.org/find-your-city will win a prize consisting of the following:

• One Amazon Gift Card ($100)

The total ARV (“Approximate Retail Value”) of all Grand Prizes in the Sweepstakes is $3,500. An IRS Form 1099 may be issued in the name of each Winner’s Parent for the actual value of the corresponding Prize received. Upon confirmation of a Sweepstakes Winner, Sponsor shall provide such Winner via email with a winner notification email. Winner and his/her Parent are solely responsible for providing a correct receiving shipping address.

VI.  PRIZE RESTRICTIONS

Winners may not transfer, give, barter, sell, substitute, or exchange the Prize for a cash equivalent except at Sponsor’s sole discretion. Sponsor reserves the right in its sole and absolute discretion at any time, to substitute a Prize with an alternate Prize of equal or greater value if a Prize component cannot be awarded as described for any reason. Sponsor will not replace any lost or stolen prizes or components of a Grand Prize. Any difference between the ARV and the actual value, if any, of any Prize or component of the Prize will not be awarded. In the event that a Potential Winner chooses not to accept his/her prize, or is unable to be notified, an alternate Potential Winner will be randomly selected from all of the remaining Eligible Entries received in connection with Lemonade Day Bike Sweepstakes during the applicable Sweepstakes Period, if time permits. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY ASPECT OF ANY WINNERS’ ACCEPTANCE OR USE OF THE GRAND PRIZES, EXCEPT WHERE WINNER OR WINNER’S PARENT RESIDES IN NEW JERSEY.

VII.  HOW AND WHEN SWEEPSTAKES WINNER WILL BE SELECTED AND NOTIFIED

Sponsor's designated City Director in each Participating Licensed Lemonade Day City will conduct a random drawing of all eligible Participants received on or about September 23, 2024, in order to select one (1) potential winner per Participating Licensed Lemonade Day City regardless of means of entry (each a “Potential Winner”, collectively, the “Potential Winners”). Each Potential Winner’s Parent will be notified by email on or about the date which occurs two (2) weeks following the applicable “Entry Period” and must respond to the notification within three (3) days following delivery of such notification or be subject to disqualification and another Potential Winner will be selected from the remaining Eligible Entries received in connection with the Sweepstakes. This process will be repeated one (1) more time in order to determine an alternate Potential Winner for the corresponding Participating Lemonade Day City Sweepstakes. If after the aforementioned one (1) additional attempt to notify an alternate Potential Winner Administrator has still not received an affirmative response to its notification, Sponsor reserves the right to terminate the applicable Sweepstakes related to the corresponding Participating Lemonade Day City Sweepstakes and not award the corresponding unawarded Prize. Odds of winning depend on the total number of Eligible Entries received in connection with the Participating Lemonade Day City Sweepstakes during the applicable Sweepstakes Period.

VIII. RELEASES

By entering this Sweepstakes and/or accepting any prize, entrants agree that: [a] you will be bound by these Rules and the decisions of the Sponsor, which shall be final in all respects; [b] you release and hold harmless the Sponsor, each of their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees (collectively, the “Released Parties”) from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the prize; participation in the Sweepstakes or any Sweepstakes‐related activity or travel or from any interaction with, or downloading of, computer Sweepstakes information; [c] the Released Parties do not make any representation, warranty or guarantee, express or implied, relating to the Sweepstakes or prize; [d] Sweepstakes Winner’s acceptance of prize constitutes the grant to Sponsor and assigns of an unconditional right to use your name, voice, likeness, photograph, biographical and prize information, city and state of residence and Entry materials (“Likeness”) for programming, publicity, advertising or promotional purposes, in any and all media now known or hereafter created or conceived, worldwide in perpetuity, without further compensation unless prohibited by law (Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion); [e]Sweepstakes Winner’s acceptance of prize constitutes the grant to Sponsor and assigns to discuss Likeness in programs, and Sweepstakes Winner acknowledges that such discussion may include statements or opinions by the program talent or others about the Likeness and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them and agrees to release and hold harmless the Released Parties from any actions, claims, injury, loss or damage allegedly  caused, directly or indirectly, by any such statements or opinions that may be made regarding the Likeness; [f] if for any reason the Sweepstakes is not capable of running as planned, including but not limited to, infection by computer virus, bugs tampering, unauthorized human or other intervention, fraud, technical failures, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the Sponsor’s reasonable control, corrupt, affect, prevent or impair the administration, security, fairness, integrity or proper conduct of the Sweepstakes, so that it cannot be conducted as originally planned, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the Entry process, to modify the Rules or to cancel, modify, terminate or suspend the Sweepstakes; and in such event, to determine the Sweepstakes Winner using all non-suspect eligible Entries received up to time of cancellation or by such method as Sponsor in its sole discretion shall consider equitable; [g] the Released Parties are not responsible for typographical or other errors in the offer or administration of this Sweepstakes, including but not limited to: human error, errors in the advertising, Rules, selection and announcement of the Sweepstakes Winner and distribution of the prizes; [h] any portion of the prize not accepted or used by the Sweepstakes Winner will be forfeited; [i] the Released Parties are not responsible for any inability of the Sweepstakes Winner to accept or use the prize (or any portion thereof) for any reason; [j] the Sponsor has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (1) tampering or attempting to tamper with the Entry process or the operation of the Sweepstakes; (2) violating the Rules; (3) violating the terms of service, privacy policy or other terms, conditions of use and/or general rules or guidelines of any Sweepstakes property or service; (4) acting in bad faith, unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (5) for any other good cause as determined solely by the Sponsor; [k] Sponsor has the right to modify prize award procedures at its sole discretion; [l] all disputes, claims and causes of action at law or in equity (individually, “Claim”) arising out of or relating to this Sweepstakes, the prize, or the meaning or interpretation of the Rules shall be resolved by applying the laws of California, without regard to conflict of laws provisions therein, and shall be solely and exclusively brought in the state or federal courts within that state; [m] all Claims shall be resolved individually, without resort to any form of class action; and [n] all Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys’ fees, and under no circumstances will you be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waive all rights to have damages multiplied or otherwise increased. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Rules) in the state and federal courts of Harris County.

WITHOUT LIMITING THE FOREGOING, THE SWEEPSTAKES, ALL PRIZES, AND ALL MATERIALS PROVIDED ON OR THROUGH THE SWEEPSTAKES SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. SOME JURISDICTIONS, INCLUDING NEW JERSEY, DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES. ACCORDINGLY, IF YOU LIVE IN THESE STATES, THE ABOVE LIMITATIONS AND EXCLUSIONS DO NOT APPLY TO YOU.

IX.    PRIVACY

Personal information collected in connection with this Sweepstakes will be used in accordance with the Sponsor’s privacy policy, available at https://lemonadeday.org/terms-and-privacy

X.   MISCELLANEOUS; WINNER’S LIST

Void where prohibited or restricted by law and subject to all applicable federal, state, provincial, local and municipal laws and regulations.

Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the Entry process and to cancel, terminate, modify and/or suspend the Sweepstakes in the event of tampering or other circumstances, including but not limited to Acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the Sweepstakes as originally planned.
